Cylo Software ("we", "us", "our") operates the DAILY mobile and web application at https://plandailyapp.com. By using DAILY, you agree to these Terms of Service. If you do not agree, do not use the service.

DAILY provides personal daily planning tools, including schedules, streak tracking, rewards, and optional social features such as friend invitations.

The service, including its software, design, text, graphics, logos, and trademarks (including DAILY™), is owned by Cylo Software or its licensors and is protected by copyright, trademark, and other laws. These Terms do not sell or transfer any ownership rights to you.

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use DAILY for your own lawful, non-commercial personal planning, subject to these Terms and any usage rules shown in the app.

You may not copy, modify, distribute, sell, or lease any part of the service; reverse engineer or attempt to extract source code except where applicable law expressly allows; scrape or harvest data from the service by automated means; circumvent security or access controls; or use the service to build a competing product or service.

You retain ownership of planner data, profile information, and other content you submit. You grant us a license to host, store, process, and display that content only as needed to operate DAILY, provide features you enable (such as cloud backup or invitations), and enforce these Terms. Our Privacy Policy describes how we handle personal information.

If you send suggestions or feedback, you grant us the right to use it without restriction or compensation to you.

You must provide accurate account information and use the app lawfully. When sending invitations by email or share link, you confirm you have permission to contact the recipient. Do not send spam, harassment, or unsolicited bulk messages through DAILY.

Users under 13 use DAILY through a child profile inside a parent or guardian's account. The adult creates and manages the child profile, agrees to these terms on the child's behalf, and decides whether to use optional cloud backup. Child profiles are for planning on the device first; social features stay off for child profiles as described in our Privacy Policy. We do not market to children or operate child profiles as a standalone sign-up or advertising channel.

DAILY may offer optional Premium features such as a free trial, redemption codes, or family sharing seats, as shown in the app. Prices, benefits, and eligibility may change with notice where practicable. If Premium is sold through Apple App Store or Google Play in the future, billing, renewal, and refunds are handled by that store under its policies; we do not control store refunds.

Email invitations are sent when you request them inside the app. Invite links and mobile text messages are composed by you and sent through your email client, messaging app, or share sheet. Cylo Software does not send SMS on your behalf. Recipients can opt out of invitation email using the unsubscribe link in each message.

The service may link to third-party sites or services (for example invite URLs, sign-in providers, or planner views shared by friends). We do not control and are not responsible for third-party content, availability, or privacy practices. Your use of third-party services is subject to their terms.

You may stop using the service at any time. We may suspend or terminate your access if you violate these Terms, if we must do so to comply with law, or if we discontinue the service. Data handling after termination is described in our Privacy Policy. Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and dispute resolution) will survive termination.

You may not use the service where prohibited by law or if you are barred from receiving services under applicable export-control or sanctions rules.

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or meet your requirements.

To the fullest extent permitted by law, Cylo Software and its partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service will not exceed the greater of (a) the amount you paid us for the service in the twelve months before the claim, or (b) one hundred U.S. dollars (USD $100).

You agree to indemnify and hold harmless Cylo Software and its partners from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the service, your content, or your violation of these Terms or applicable law.

We may update these Terms from time to time. We will post the revised Terms with an updated date. If changes are material, we will provide additional notice where practicable (for example, in the app or by email). Continued use after the effective date means you accept the revised Terms.

Most concerns can be resolved quickly by emailing support@plandailyapp.com. If we cannot resolve a dispute informally, you and Cylo Software agree that any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved by binding individual arbitration, not in court, except that either party may bring qualifying claims in small claims court.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator will apply California law. The arbitration may be conducted remotely or in a location in California, as the arbitrator decides. Judgment on the award may be entered in any court with jurisdiction.

You and we waive any right to a jury trial and agree that disputes will be brought only in an individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Most disputes must be resolved through binding individual arbitration under the Dispute resolution section above (including AAA Consumer Arbitration Rules and the Federal Arbitration Act), not in court. Only if a dispute is not subject to arbitration, or to enforce an arbitral award, you consent to the exclusive jurisdiction of the state and federal courts located in California.
